1. Who we are and our role
Rathi Wealth Private Limited (“Rathi Wealth”, “we”) is an AMFI Registered Mutual Fund Distributor (ARN-195840) and SIF Distributor, and an APMI Registered Portfolio Management Services (PMS) Distributor (APRN04392).
We act as a distributor of financial products. We are not registered with SEBI as an Investment Adviser or Research Analyst. Any recommendation we make is incidental to the distribution of the products we offer and is based on our assessment of your risk profile and the suitability of the product. We do not provide investment advice for a fee.
2. How we are paid
- Mutual funds and SIFs: we receive trail commission from Asset Management Companies (AMCs) on investments made through our ARN in Regular Plans. As required by SEBI, AMCs pay only trail commission; no upfront commission is paid to us.
- We do not charge you any fee for mutual fund distribution. Our commission is included in the Total Expense Ratio (TER) of the Regular Plan.
- PMS: we receive distribution fees from the portfolio manager, which may include a share of the management and/or performance fee. The exact rate for each strategy is disclosed to you before you invest.
- AIF: we receive distribution fees from the AIF manager, as disclosed in the private placement memorandum and to you before you invest.

- Rates are compiled on a best-effort basis from AMC communications and updated as revised. Commission on Specialized Investment Funds (SIF) is disclosed scheme-wise before you invest.
- Gross commission paid to Rathi Wealth by all AMCs in each financial year is published by AMFI: AMFI commission disclosure.
This disclosure is made in line with SEBI circular SEBI/IMD/CIR No. 4/168230/09 dated 30 June 2009.
4. Regular Plan and Direct Plan
Every mutual fund scheme offers a Direct Plan, which has a lower expense ratio because no distribution commission is paid. You may invest in a Direct Plan on your own, through the AMC, a Registrar & Transfer Agent, or a SEBI-registered Investment Adviser. Investments made through Rathi Wealth are made in the Regular Plan.
5. Conflicts of interest
- Commission rates differ across AMCs, schemes and products. We recommend products based on suitability for you, not on the commission we receive.
- Rathi Wealth, its directors and employees may invest in the same products we distribute.
- We do not offer gifts, rebates or any other inducement to invest.
6. Risk factors
Mutual Fund investments are subject to market risks, read all scheme related documents carefully. Mutual fund schemes do not assure or guarantee any returns. Past performance of any scheme may or may not be sustained in future. There is no guarantee that a scheme’s investment objective will be achieved. Please check the exit load and Total Expense Ratio applicable at the time of investment.
PMS, AIF and SIF products carry higher risk, may use complex strategies including derivatives, and have minimum investment amounts prescribed by SEBI (₹50 lakh for PMS, ₹1 crore for AIF, ₹10 lakh for SIF; certain exemptions apply). Read the disclosure document, private placement memorandum or scheme documents carefully before investing.
7. Suitability and execution-only transactions
We assess your risk profile before recommending any product and keep a record of it. If you choose to invest in a product we consider unsuitable for your risk profile, we will inform you in writing and ask you to confirm that the transaction is on an execution-only basis.
